Terms of Service

1. Service Description

VidGrab provides a tool that allows users to download Instagram Reels from Instagram for personal, non-commercial use only. You provide an Instagram Reel URL, and our Service attempts to retrieve the video content associated with that URL.

VidGrab is an independent service and is not affiliated with, endorsed by, or sponsored by Instagram or Meta Platforms, Inc.

2. User Responsibilities and Conduct

You agree to use the Service responsibly and in compliance with all applicable laws and regulations. Specifically, you acknowledge and agree to the following:

• Compliance with Instagram's Terms: You are solely responsible for ensuring that your use of VidGrab to download content from Instagram does not violate Instagram's Terms of Service or any other policies Instagram may have.
• Respect for Copyright and Intellectual Property: You understand that Instagram Reels and the content within them are protected by copyright and other intellectual property laws. You agree to download content only if you have the right to do so (e.g., the content is your own, or you have explicit permission from the copyright holder). You are solely responsible for any copyright infringement or violation of intellectual property rights that may occur as a result of your use of the Service.
• Personal Use Only: The Service is provided for your personal, non-commercial use. You may not use the Service or any downloaded content for any commercial purpose, public display, public performance, sale, or rental without explicit permission from the respective copyright holders.
• Prohibited Activities: You agree not to:
  • Use the Service for any illegal or unauthorized purpose.
  • Engage in any activity that could harm, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
  • Use any automated system, including "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional web browser (except for public search engines for the purpose of creating publicly available searchable indices).
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
  • Distribute, sell, sublicense, or otherwise transfer any rights in the Service or downloaded content, except as expressly permitted.
  • Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices affixed to or contained within the Service or downloaded content.

3. Intellectual Property

All rights, title, and interest in and to the Service (excluding content provided by users or third parties like Instagram) are and will remain the exclusive property of VidGrab and its licensors. This includes our website design, branding, logos, and software. These Terms do not grant you any rights to use VidGrab's branding or logos.

Content downloaded from Instagram remains the intellectual property of its respective owners. VidGrab does not claim any ownership rights over content downloaded through its Service.

4. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.
• ANY ERRORS OR DEFECTS WILL BE CORRECTED.
• THE SERVICE WILL ALWAYS BE ABLE TO SUCCESSFULLY RETRIEVE CONTENT FROM INSTAGRAM, AS INSTAGRAM MAY CHANGE ITS PLATFORM OR IMPLEMENT MEASURES THAT AFFECT OUR SERVICE'S FUNCTIONALITY.
• THE CONTENT YOU DOWNLOAD IS ACCURATE, COMPLETE, LEGAL, OR SAFE.

VIDGRAB IS NOT RESPONSIBLE FOR THE CONTENT DOWNLOADED THROUGH THE SERVICE OR FOR YOUR USE OF SUCH CONTENT. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE LEGALITY AND APPROPRIATENESS OF ANY CONTENT YOU DOWNLOAD AND USE.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIDGRAB, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY CONTENT OBTAINED THROUGH THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF (I) THE AMOUNT YOU HAVE PAID TO VIDGRAB FOR ACCESS TO AND USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT(S) GIVING RISE TO THE CLAIM OR (II) ONE HUNDRED U.S. DOLLARS ($100).

6. Indemnification

You agree to defend, indemnify, and hold harmless VidGrab and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that content you downloaded caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.

7. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the Hong Kong Special Administrative Region for the resolution of any disputes.

10. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Entire Agreement

These Terms constitute the entire agreement between you and VidGrab regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
